The terms “User(s)”, “you”, or “your” shall refer to any individual, corporate entity, buyer, renter, or seller visiting, accessing, or utilizing the Platform in any capacity. By registering an account, browsing the digital catalog, interacting with the personalized AI prompt search algorithms, or purchasing or renting any physical products, you explicitly acknowledge that you have read, thoroughly understood, and unconditionally agree to be bound by these Terms, in conjunction with our Privacy Policy. If you do not agree to these Terms in their absolute entirety, you are strictly prohibited from using the Platform and must immediately exit all associated digital properties.

2. Definitions and Interpretations

For the precise execution of these Terms, the following operational definitions apply:

1. "Bipartite Contract" refers to the direct, legally binding commercial agreement formed exclusively between a Buyer or Renter and a registered Seller for the sale or rental of a physical product. Aponex is legally not a party to this contract.
2. "Platform" encompasses the entirety of the Aponex website, mobile applications, underlying software code, artificial intelligence algorithms, AR spatial tools, and all related digital infrastructure.
3. "Seller" or "Vendor" refers to third-party manufacturers, traditional artisans, and local craftsmen (including but not limited to those originating from the Shekhawati region) who utilize the Platform's infrastructure to list, sell, or rent their inventory.
4. "Smart Furniture" refers to technologically integrated, multifunctional, modular, or space-saving furniture online, specifically engineered for modern urban spatial optimization.
5. "Asset-Light Model" denotes Aponex’s structural operational framework wherein we supply the digital marketplace technology and payment facilitation but do not manufacture, own, inventory, or warehouse the physical products listed on the Platform.

3. Platform Role, Intermediary Status, and Liability Disclaimers

3.1 Strict Intermediary and Facilitator Status Aponex operates strictly as a digital intermediary and an asset-light multivendor marketplace. In accordance with the Information Technology Act, 2000, we act solely as a facilitator, providing the technological infrastructure—including advanced AI product discovery, secure RBI-compliant payment gateways, and vendor management dashboards—to enable commercial transactions.

3.2 No Inventory Ownership or Manufacturing Liability We unequivocally do not own, manufacture, warehouse, inspect, or take title to any of the physical products listed on our Platform. The responsibility for fulfilling the order, honoring express or implied warranties, managing after-sales service, and ensuring the absolute accuracy of product declarations lies entirely and exclusively with the respective Seller.

3.4 Accuracy of Listings and Inherent Material Variations While Aponex enforces rigorous cataloging standards, Sellers maintain sole responsibility for the accuracy of their product descriptions, dimensional data, images, and inventory availability. Furthermore, buyers of premium wooden furniture and handcrafted Shekhawati solid wood items explicitly acknowledge that natural wood grain variations, minor seasonal expansion or contraction resulting in splits, and slight tonal differences are inherent, natural characteristics of solid wood materials. These variations, along with acceptable leveling tolerances up to 5mm, do not constitute manufacturing defects and will not be entertained as valid grounds for warranty claims or product returns.

4. Eligibility and User Account Registration

4.1 Statutory Competence to Contract Use of the Platform is strictly available only to persons who are legally competent to form binding contracts under the Indian Contract Act, 1872. Persons who are deemed "incompetent to contract" within the meaning of the Act—including minors, un-discharged insolvents, and individuals of unsound mind—are entirely ineligible to use the Platform. By using this Platform, you represent and warrant that you are at least 18 (eighteen) years of age. Persons under the age of 18 may utilize the Platform only under the direct supervision and with the explicit, affirmative consent of a parent or legal guardian who agrees to be bound by these Terms on their behalf. If you are registering as a business entity, you represent that you possess the requisite corporate authority to bind that entity to these Terms.

4.2 Account Security, Data Accuracy, and Suspension Browsing the catalog and registering on the Platform as a Buyer or Renter is entirely free of charge. Upon registration, you bear sole responsibility for maintaining the strict confidentiality of your User ID, password, and associated account credentials. You agree to provide current, comprehensive, and verifiably accurate information during the registration process and to promptly update such information. Aponex reserves the unilateral right to suspend, restrict, or terminate your account indefinitely if we harbor reasonable suspicion that the information provided is false, inaccurate, out of date, or intended to defraud the Platform or its Vendors.

5. AI-Driven Product Discovery and AR Visualization Services

Aponex distinguishes itself within the digital commerce landscape by offering cutting-edge technological services designed to optimize the furniture shopping experience. By electing to use these advanced services, you agree to the following operational conditions:

5.1 AI Prompt Searches and Conversational Discovery Our platform utilizes proprietary artificial intelligence algorithms to assist users in discovering custom furniture designs, space-saving furniture, and highly specific aesthetic styles. While the AI models are continuously trained to provide highly relevant recommendations based on your conversational prompts and search behaviors, Aponex does not warrant or guarantee the absolute accuracy, aesthetic suitability, or real-time availability of the AI-generated inventory suggestions.

5.2 Augmented Reality (AR) Spatial Visualization Limitations We provide an AR visualization feature enabling users to project scaled 3D digital models of furniture directly into their physical spaces utilizing mobile device cameras.

1. Informational Disclaimer: The AR tool is provided strictly as a supplementary aid for spatial planning, aesthetic estimation, and general visualization purposes.
2. Dimension and Color Variance: Ambient lighting conditions, individual camera sensor calibration, and mobile screen resolution variances may cause the digital AR projection to differ from the physical reality of the product. Aponex and its Sellers categorically disclaim any liability for discrepancies between the AR visualization and the actual dimensions, color fidelity, or spatial fit of the delivered physical product. Users bear the sole responsibility to manually measure their architectural spaces and cross-reference them against the explicit numerical dimensions provided in the textual product listing prior to executing an order.

6. E-Commerce Purchasing Terms and Financial Mechanics

When you elect to purchase physical inventory through the Platform—ranging from modular space-saving furniture online to premium Shekhawati solid wood furniture—the following commercial terms apply:

6.1 Order Acceptance, Dynamic Pricing, and Errors All product prices, applicable statutory taxes (including Goods and Services Tax), and logistical shipping charges are prominently displayed at the checkout interface prior to final order confirmation. The bipartite contract of sale is only finalized upon the Seller accepting the order and initiating the dispatch sequence. 6.2 Transfer of Title and Risk of Loss In strict alignment with our asset-light operational model, the legal title and the risk of physical loss or damage for all purchased products pass entirely to you upon the successful delivery of the goods to your designated address by the Seller or their designated third-party logistics partner.

7. Furniture Rental Agreements and Subscription Protocols

Aponex facilitates sophisticated short-term and long-term furniture rental in Rajasthan and across various operational cities for both residential and commercial environments. Renting furniture via the Platform is governed by specific subscription mechanics and rigorous asset protection policies:

7.1 Rental Tenure, Monthly Invoicing, and Security Deposits Renters are required to select a specified, binding rental tenure during the checkout process. In addition to the recurring monthly rental fee, a fully refundable security deposit must be remitted, which will be securely held in escrow or managed directly by the Vendor. This security deposit does not accrue or carry any interest payable to the Renter. Monthly invoices are generated on a fixed billing cycle, and payments remitted beyond the stipulated due date will incur a mandatory late collection fee, calculated as a fixed percentage of the outstanding invoice amount.

7.2 Flexi-Tenure, Early Closure Penalties, and Deductions

1. Early Closure: Renters retain the right to request the early termination of a rental subscription. However, stringent early closure charges will be applied if the user terminates the agreement prior to the completion of the originally committed tenure. These penalty charges are dynamically calculated based on the differential between the contracted long-term rate and the rate applicable for the actual, shortened duration of use.
2. Damage Assessment and Security Deductions: Upon the cessation of the rental period and the return of the furniture, the items will undergo a rigorous physical quality inspection at the Vendor's facility. Products must be returned in a condition consistent with standard, reasonable wear and tear. Any severe structural damage, indelible stains, deep surface scratches, or unauthorized modifications will result in assessed damage repair costs being deducted directly from the refundable security deposit prior to the execution of the refund.

7.3 Authorized Use of Rented Assets and Relocation Restrictions Rented physical assets are provided exclusively for standard domestic or agreed-upon commercial use strictly at the registered delivery address. Renters are expressly prohibited from utilizing the items for unauthorized heavy commercial purposes, subleasing the assets to third parties, or relocating the items to a different geographic address without the prior, explicit written consent generated and recorded through the Aponex Platform. Unauthorized relocation immediately voids all associated service warranties and may result in the forfeiture of the security deposit.

8. Fees, Payment Processing, and Strict Seller Obligations

8.1 Buyer and Renter Payment Infrastructure Aponex supports multiple, highly secure electronic payment methods. All financial transactions are processed exclusively through RBI-compliant, encrypted third-party payment gateways. Aponex does not store, process, or retain complete credit card or debit card details on its servers. In the event of payment gateway failures, suspected fraudulent transactions, or delayed financial realization, order processing will be automatically suspended until the funds are irrevocably cleared.

8.2 Seller Commission Structures and Statutory Compliance Registered Sellers and independent Vendors are subject to the commercial terms, service level agreements (SLAs), and commission structures established by Aponex, which are automatically deducted at the time of financial settlement:

1. Purchasing Marketplace Commission: Aponex levies a variable platform commission ranging from 5% to 7% on the total gross sale value of successfully delivered and non-returned product sales.
2. Rental Marketplace Service Charge: For rental subscriptions facilitated through the Platform's infrastructure, Aponex levies a recurring service charge ranging from 8% to 10% on the monthly rental payments collected.
3. Strict Seller Compliance: Sellers explicitly agree and warrant to maintain highly accurate inventory levels, provide truthful and non-misleading product descriptions, and comply unconditionally with all applicable digital commerce statutes, including the Legal Metrology Act, 2009, and GST taxation regulations. Sellers are strictly prohibited from engaging in unfair trade practices, manipulating prices during extraordinary market circumstances, or listing counterfeit, infringing, or illegal goods.

9. Logistics, Shipping, and Fulfillment Mechanics

9.1 Decentralized Logistics Operations Because Aponex utilizes an asset-light model, physical shipping, transportation, and last-mile logistics are facilitated either directly by the local factory/vendor or through API-integrated third-party logistics (3PL) partners. All provided estimated delivery timelines are purely indicative and may be subject to significant variations caused by supply chain disruptions, adverse meteorological conditions, or force majeure events.

9.2 Customer Responsibilities at Point of Delivery You bear the absolute responsibility for ensuring that the designated delivery address is geographically accurate and physically accessible for the drop-off and potential installation of bulky furniture items. This encompasses ensuring adequate clearance dimensions in stairwells, service elevators, and doorways. If a delivery attempt fails due to the customer's failure to ensure physical accessibility or failure to be present at the scheduled delivery window, the Seller reserves the right to levy a secondary delivery charge or a return logistics penalty. Furthermore, free installation services (if applicable) are valid only for the initial delivery attempt.

10. Cancellations, Returns, and Financial Refund Policies

In strict adherence to the mandates of the Consumer Protection (E-Commerce) Rules, 2020, Aponex enforces transparent, equitable, and statutorily compliant policies regarding order reversals.

10.1 Order Cancellations

1. Pre-Shipment Window: Buyers may cancel an order for any standard, non-customized product without financial penalty, provided the cancellation request is formally initiated through the Platform before the item enters the shipping or manufacturing production phase (typically governed by a strict 24-hour window from the time of order placement).
2. Parity in Cancellation Penalties: Aponex and its registered Sellers will not impose cancellation charges on consumers who cancel after confirming a purchase, unless identical financial charges are also borne by the e-commerce entity or Seller in the event they unilaterally cancel the purchase order for any reason.
3. Custom Furniture Exemption: Orders placed for bespoke, made-to-order custom furniture designs, or items customized based on specific spatial requirements, absolutely cannot be canceled or refunded once manufacturing production has commenced.

10.2 Returns and Replacements Framework Return policies, specific trial periods, and manufacturer warranties are determined by the individual Vendor and are prominently displayed on each unique product listing page.

1. Strict Eligibility: Returns or replacements are generally authorized exclusively in cases where the product delivered is demonstrably structurally damaged, functionally defective, or significantly materially different from the item ordered.
2. Condition of Returned Goods: To qualify for a return authorization (where applicable), physical products must be in their original, unused, and donatable condition. They must be completely free of stains, tears, pet dander, or odors, and must include all original packaging materials, hardware, and accessories. Aponex reserves the right to demand unboxing video evidence from the consumer to process claims regarding transit damage.

10.3 Refunds Processing Timeline Approved financial refunds for canceled orders or successfully processed returns will be initiated and credited back solely to the original electronic payment method utilized during the initial transaction. Due to standard banking reconciliation procedures, please allow a duration of 5 to 7 working days for the credited amount to reflect in your financial account. Cash refunds are strictly not provided under any circumstances.

11. Intellectual Property Rights and Content Licensing

11.1 Protection of Platform Intellectual Property All proprietary technology, software, underlying source code, visual interfaces, text, graphics, logos, Aponex brand assets, AI chat algorithms, AR visualization frameworks, and database architectures are the exclusive intellectual property of Aponex Marketplace Pvt. Ltd. and are aggressively protected by Indian and international copyright, patent, and trademark laws. You are granted a highly limited, non-exclusive, non-transferable, and revocable license to access and use the Platform strictly for its intended commercial purpose. You may not reverse engineer, decompile, scrape, copy, or commercially exploit any part of the Platform's digital assets without explicit, prior written authorization from Aponex.

11.2 User-Generated Content and Perpetual Licensing By posting product reviews, uploading images of furniture in your space, or submitting feedback on the Platform, you automatically grant Aponex a perpetual, worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and publicly display such content across any media formats for marketing, promotional, and algorithmic training purposes. You represent and legally warrant that you own or control all necessary rights to the content you post and that such content does not violate the privacy, copyright, or intellectual property rights of any third party.

12. User Conduct, Prohibited Activities, and Platform Integrity

To maintain a secure, legally compliant, and trustworthy marketplace ecosystem, users are strictly prohibited from engaging in the following activities:

1. Utilizing the Platform for any unlawful, fraudulent, deceptive, or malicious commercial purpose.
2. Transmitting any viruses, worms, malware, trojans, or destructive code that could compromise the Platform's cybersecurity infrastructure or data integrity.
3. Attempting to gain unauthorized access to our servers, databases, payment gateways, or other users' private accounts.
4. Deploying automated scraping tools, extracting vendor contact information, or utilizing bots to index the Platform without our prior written consent.
5. Posting content that is defamatory, obscene, harassing, hateful, discriminatory, or infringes upon third-party intellectual property rights.
6. Attempting to circumvent the Aponex payment infrastructure by soliciting or conducting commercial transactions with registered Vendors offline to avoid mandatory platform commissions.

Aponex reserves the unilateral right to immediately suspend, restrict, or terminate the account of any user found violating these stringent conduct guidelines, and to pursue aggressive civil and criminal legal remedies where applicable.

13. Disclaimers of Warranties and Strict Limitation of Liability

13.1 "As Is" and "As Available" Basis The entirety of the Platform, including all AI, AR, and search functionalities, is provided strictly on an "as is" and "as available" basis without any representations, guarantees, or warranties, whether express or implied. Aponex categorically makes no warranties regarding the continuous, uninterrupted, error-free, or secure availability of the Platform.

13.2 Cap on Financial Liability To the maximum extent permitted by applicable Indian law, in no event shall Aponex Marketplace Pvt. Ltd., its directors, officers, employees, authorized signatories, affiliates, or agents be held liable for any indirect, incidental, special, consequential, or punitive damages—including but not limited to loss of anticipated profits, loss of data, personal injury, or business interruption—arising out of or in connection with your use of the Platform, the fulfillment of any bipartite contract, or reliance on the AI/AR tools.

Our maximum aggregate financial liability to you, regardless of the cause of action (whether sounding in contract, tort, negligence, or strict liability), shall absolutely not exceed the specific quantum of platform fees or commissions retained by Aponex in relation to the specific transaction under active dispute.

14. Indemnification

You expressly agree to indemnify, defend, and hold completely harmless Aponex Marketplace Pvt. Ltd., its affiliates, directors, officers, and employees from and against any and all losses, liabilities, claims, damages, costs, and expenses (including reasonable legal and attorney fees) asserted against or incurred by Aponex that arise out of, result from, or may be payable by virtue of any breach or non-performance of any representation, warranty, covenant, or agreement made or obligation to be performed by you pursuant to these Terms, or your violation of any statutory law or the rights of any third party.

15. Force Majeure

Neither Aponex nor its registered Sellers shall be held liable for any delay or total failure in the performance of their respective commercial obligations under these Terms if such delay or failure is directly or indirectly caused by events beyond their reasonable control, including but not limited to acts of God, natural disasters, global pandemics, strikes, lock-outs, government restrictions, massive internet outages, or severe global supply chain disruptions.

16. Governing Law and Exclusive Dispute Resolution

These exhaustive Terms and your continued use of the Platform shall be governed by, and construed strictly in accordance with, the laws of the Republic of India, notably including the Information Technology Act, 2000, and the Consumer Protection Act, 2019, without regard to conflict of law principles.

Any legal disputes, claims, or controversies arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive legal jurisdiction of the competent civil courts located in Churu, Rajasthan, India. By utilizing the Platform, you explicitly, voluntarily, and unconditionally consent to the personal jurisdiction and venue of these specific courts.

17. Statutory Grievance Redressal Mechanism

In strict compliance with the mandates of the Information Technology Act, 2000, and the Consumer Protection (E-Commerce) Rules, 2020, Aponex has established a highly responsive and robust grievance redressal mechanism. We are fundamentally committed to addressing consumer and vendor concerns swiftly, equitably, and transparently.

Any formal complaints regarding product discrepancies, rental contract disputes, seller behavior, or intellectual property violations should be directed to our appointed Grievance Officer. We guarantee that the receipt of any consumer complaint will be formally acknowledged within 48 hours, and we shall endeavor to completely redress and resolve the complaint within 1 (one) month from the exact date of receipt.
